This Appendix describes the scope and features of the MANAGED AI services offered by Intech Hawaii. This Appendix is incorporated by reference into the Services Guide and is subject to all terms and conditions of the Services Guide and the Master Services Agreement ("MSA"). Only the specific services listed in your Quote will be provided; all other services described in this Appendix are available but not included unless expressly added to your Quote. Intech Hawaii reserves the right to update this Appendix from time to time to reflect changes in available services; material changes that negatively impact services already included in your Quote will be communicated to you by email.
MANAGED AI
Managed AI provides ongoing administration and account management for AI platform deployments facilitated by Intech Hawaii. Intech Hawaii serves as the account administrator between Client and the applicable AI platform provider ("AI Provider"), handling setup, user access, usage management, and ongoing account oversight. Platform availability, model behavior, and AI output quality are the responsibility of the AI Provider, not Intech Hawaii.
Included Services
Onboarding and Initial Setup
- Onboarding coordination, including client intake, user list collection, SSO requirements, and integration needs
- Initial platform environment configuration, including default model settings and usage guardrails
- SSO and integration setup
- Rollout support: first-login assistance, training kickoff session, and internal staff communication materials
- Ongoing rollout monitoring during the initial deployment period
Ongoing Account Management
- Coordination of plan changes, credit top-ups, and tier upgrades with Client's designated point of contact prior to any changes being made
- Proactive recommendations on plan tier fit and usage optimization
Client Responsibilities:
Client is responsible for the following on an ongoing basis
- User access management: Notifying Intech Hawaii of all required user additions, removals, and role changes in a timely manner. Intech Hawaii will implement changes upon written request from Client's designated point of contact
- Usage monitoring: Monitoring AI platform usage and credits against plan thresholds. Intech Hawaii will relay threshold alerts received from the AI Provider, but Client is responsible for reviewing usage and approving any plan changes, credit purchases, or tier upgrades in advance
- Designated point of contact: Maintaining a named internal point of contact authorized to approve plan changes, access requests, and usage decisions on Client's behalf
- Acceptable use: Ensuring all users comply with the AI Provider's acceptable use policy and Client's own internal AI usage policies
AI Disclaimer and Limitation of Liability
No Warranty on AI Outputs. AI-generated outputs are produced by the AI Provider's platform and models, over which Intech Hawaii has no control. Intech Hawaii makes no representation or warranty, express or implied, regarding the accuracy, completeness, reliability, timeliness, or suitability of any AI-generated output for any particular purpose. Client assumes all risk associated with its use of AI-generated outputs.
Not Professional Advice. Nothing produced by the AI platform constitutes legal, financial, medical, regulatory, security, or other professional advice. Client is solely responsible for independently verifying AI outputs and consulting qualified professionals before making any decision based on AI-generated content.
Client Responsible for Use. Client is solely responsible for how it and its users use the AI platform, including the prompts submitted, the outputs acted upon, and compliance with all applicable laws, regulations, and industry standards. Intech Hawaii shall have no liability for any decision, action, or omission made by Client or its users in reliance on AI-generated content.
Data Input Responsibility. Client is solely responsible for ensuring that any data, information, or content submitted to the AI platform complies with applicable privacy laws, data protection obligations, confidentiality agreements, and the AI Provider's terms of service. Intech Hawaii shall have no liability for any data submitted to the AI platform by Client or its users, or for how the AI Provider processes, stores, or uses that data.
Third-Party Platform. The AI platform is operated by a Third-Party AI Provider. Intech Hawaii has no control over the AI Provider's infrastructure, model updates, pricing changes, feature changes, data practices, or service continuity. Intech Hawaii shall have no liability for any interruption, degradation, modification, or discontinuation of the AI platform by the AI Provider.
No Liability for AI-Related Losses. To the maximum extent permitted by law, Intech Hawaii shall have no liability for any direct, indirect, incidental, consequential, or punitive damages arising from or related to: (i) the use of or reliance on AI-generated outputs; (ii) errors, hallucinations, or inaccuracies in AI outputs; (iii) unauthorized access to data submitted to the AI platform; (iv) changes to the AI platform by the AI Provider; or (v) Client's failure to comply with applicable laws or the AI Provider's terms of service in connection with its use of the AI platform.
